Eave Desk Subscription Agreement

This agreement is between Columbia Data Group, the operator of Eave Desk ("Eave Desk"), and the company named on the signup form (the "Customer").

The Eave Desk Terms of Service published at the Terms page (version effective 6 October 2026) are incorporated into this agreement by reference and govern the subscription. A copy of the incorporated text as it stood at acceptance is identified by its SHA-256 fingerprint shown as the document version on the Terms page and stored against the account at acceptance, so the exact wording accepted can always be reproduced.

In summary, and without limiting the incorporated terms: the Customer subscribes to the Modules and billing term selected at signup at the price shown, billed in advance monthly or annually. Each plan includes two seats and 30 GB of storage in total, not per Module. Additional seats and 10 GB storage blocks each cost $25 monthly, or $270 annually on Designer plans and $264 annually on Platinum. Optional onboarding is $1,000 once, including up to eight hours within four weeks after Customer supplies the required information, refundable until work starts and non-refundable afterward. If a trial is shown on that plan, a payment method is required to start it and the first charge is made when the trial ends unless the subscription is cancelled before then. The Customer may cancel at any time from the account; cancellation takes effect at the end of the paid term, after which the account is read-only for 30 days for export, with deletion within 60 days after that period. If a renewal payment fails, access continues for 7 days and then the account is read-only until payment succeeds; nothing is deleted by a failed payment. Adding a Module, seat, or storage block takes effect immediately and is prorated; removing one takes effect at the end of the term. Fees already paid are not refunded except where the incorporated terms say otherwise.

The Customer is responsible for the accuracy of its catalog, prices, and branding; for what it shows its Buyers; for the conduct of the accounts and API keys it creates; and for obtaining the engineering, permits, and inspections the law requires for any building it sells. Quantities, prices, and drawings the Service produces are material estimates and concept documents, not engineered or code-approved plans, and the Customer will not present them as such.

Eave Desk's operator is affiliated with a post-frame construction business. The Customer's prices, leads, and Buyer details are confidential and will not be used for or disclosed to that business.

Washington law governs; each party waives a jury trial to the extent the law allows.

Data Processing Addendum

Eave Desk processes personal data, including the Customer's Buyers' contact details, on the Customer's behalf and on the Customer's documented instructions, for the purpose of providing the service, and for no other purpose. Eave Desk does not sell that data, does not use it for its own marketing, does not combine it with another customer's data, and does not use it to train machine learning models.

Eave Desk will keep that data confidential, will forward data subject requests it receives to the Customer within 5 business days, will notify the Customer of a personal data breach without undue delay and in any event within 72 hours of becoming aware of it, will keep the data available for export during the 30-day read-only period after the subscription ends, and will then delete it within 60 days except for copies in routine backups, which age out on their normal cycle. The current subprocessor list is published in the Eave Desk Privacy Policy.

This section is a summary of Eave Desk's full Data Processing Addendum, which forms part of the Terms of Service, is available on request, and controls over this summary.
